Seller Terms & Conditions

1. Definitions

• Loqaly: The online marketplace platform operated by OneAM Productions ("we", "us").
• Seller / Merchant: Any individual or business listing products or services for sale through Loqaly ("you").
• Customer: Any user placing an order for products or services listed by you.
• Account: The registered profile used by you to access and manage your shop on Loqaly.

2. Eligibility

You must be at least 18 years old and legally capable of entering into contracts under Indian law. If you are representing a business, you confirm you have the authority to bind that business to these Terms.

3. Platform Role

Loqaly is an intermediary platform connecting local shops and customers. We do not own, produce, or guarantee the quality, legality, or safety of the goods and services listed. All transactions occur directly between you and the customer.

4. Seller Responsibilities

• Ensure all information provided (store name, description, pricing, stock, etc.) is accurate and up to date.
• Comply with all applicable laws including GST, consumer protection, food safety, and local trade regulations.
• Fulfil accepted orders promptly and provide quality goods or services as described.
• Respect customer privacy and do not misuse their data for spam or unauthorized communication.
• Maintain professional behaviour with customers, riders, and Loqaly staff.

5. Product Listings & Content

• You are solely responsible for the content and legality of your listings.
• Do not upload or list prohibited, illegal, counterfeit, or restricted items (e.g., alcohol, tobacco, drugs, weapons, etc.).
• We reserve the right to remove or hide listings that violate laws or platform policies without prior notice.

6. Payments & Commissions

Payments for customer orders are processed through authorized payment gateways. Loqaly may deduct a platform fee or commission per order before transferring your earnings. Details of commissions and payout schedules will be shown in your merchant dashboard or notified separately.

7. Taxes

You are solely responsible for collecting, reporting, and remitting applicable taxes (e.g., GST) to authorities. Loqaly may display prices inclusive or exclusive of tax as configured by you.

8. Cancellations, Refunds & Disputes

• You must follow fair refund and cancellation practices in compliance with Indian consumer laws.
• In case of disputes or complaints, you are expected to cooperate with Loqaly’s support team for resolution.
• Repeated disputes or misconduct may lead to account suspension.

9. Prohibited Conduct

• Do not use Loqaly for illegal, fraudulent, or misleading activities.
• Do not manipulate orders, fake transactions, or engage in deceptive pricing.
• Do not attempt to reverse-engineer, decompile, or tamper with the Loqaly app or backend systems.
• Do not bypass Loqaly’s payment channels or conduct off-platform deals with customers originated from Loqaly.

10. Intellectual Property

All rights to the Loqaly brand, website, software, and platform belong to OneAM Productions. You retain rights over your store name, logo, and content, but grant Loqaly a non-exclusive license to display them on the platform.

11. Suspension & Termination

We may suspend or terminate your seller account for violations of these Terms, fraudulent activity, poor order fulfillment, or any behavior harmful to customers or the platform. Pending payouts may be withheld during investigation.

12. Limitation of Liability

OneAM Productions is not responsible for any losses, damages, or claims arising from your listings, products, or customer interactions. Our total liability, if any, will not exceed the total commission earned by Loqaly from your sales in the preceding 3 months.

13. Indemnification

You agree to indemnify and hold harmless OneAM Productions, its officers, employees, and partners against any claims, damages, or expenses arising from your breach of these Terms or violation of law.

14. Force Majeure

We are not liable for any delay or failure due to events beyond our control, including natural disasters, internet outages, strikes, or government restrictions.

15. Changes to These Terms

We may modify these Terms from time to time. Updated Terms will be posted on the Loqaly website or app. Continued use after changes means acceptance of the new Terms.

16. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Patna, Bihar.
